These Terms of Service (the "Terms") govern your access to and use of the websites, software platforms, application programming interfaces, and related services (collectively, the "Services") provided by ElAdawy LLC, a limited liability company organized under the laws of the State of Wyoming, United States ("ElAdawy LLC," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.
By creating an account, accessing, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree, you must not use the Services.
ElAdawy LLC designs, deploys, and operates Software-as-a-Service (SaaS) frameworks and secure digital data management infrastructure for international clients. The Services may include cloud architectures, encrypted web portals, proprietary codebases, and associated technical support. We may add, modify, or discontinue features of the Services at our discretion.
You must be at least 18 years of age and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to promptly update it as necessary.
You agree not to misuse the Services, including by: (a) violating any applicable law or regulation; (b) attempting to gain unauthorized access to any system or network; (c) interfering with or disrupting the integrity or performance of the Services; (d) transmitting malicious code; or (e) using the Services to infringe the intellectual property or privacy rights of others. We reserve the right to suspend or terminate access for conduct that violates this section.
All software, source code, designs, documentation, trademarks, and other materials made available through the Services are the property of ElAdawy LLC or its licensors and are protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
Certain Services are offered on a subscription or one-time-purchase basis. You agree to pay all applicable fees in accordance with the pricing and billing terms presented at the time of purchase. Unless otherwise stated, subscription fees are billed in advance on a recurring basis and are processed through PCI-DSS compliant payment infrastructure. All fees are exclusive of applicable taxes unless stated otherwise.
All corporate software access sales are strictly final sale. Subscriptions qualify for pro-rated account upgrades only. Full details are set out in our Refund Policy, which is incorporated into these Terms by reference.
Each party agrees to protect the confidential information of the other and to use it only as necessary to perform under these Terms. Our collection and processing of personal data is described in our Privacy Policy. You retain ownership of data you submit to the Services, and you grant us a license to process that data solely to provide and improve the Services.
We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, deploy updates, or modify the Services, and will use commercially reasonable efforts to minimize disruption. We may impose usage limits or suspend access where necessary to protect the integrity and security of the platform.
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. To the fullest extent permitted by applicable law, ElAdawy LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, and our aggregate liability arising out of or relating to the Services shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the security or integrity of the Services. Upon termination, your right to use the Services will cease, though provisions that by their nature should survive termination will remain in effect.
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in the State of Wyoming, except where applicable law provides otherwise.
